Senior Legal Counsel M&A

A leading global organisation is seeking a senior, qualified lawyer with significant M&A expertise to join its legal team in Lausanne. This is a key role supporting strategic investment activities at national, regional and global levels. You will work closely with senior management and cross-functional stakeholders including Investment, Finance, Tax, Communications, Investor Relations and Legal & Compliance. You will lead and support complex transactions from inception to closing, ensuring alignment with strategic objectives and effective risk management.

Key responsibilities:

• Lead legal support on mergers, acquisitions, divestitures, corporate ventures and joint ventures

• Draft, review and negotiate transaction documentation

• Oversee due diligence processes and coordinate internal stakeholders

• Manage and direct external counsel

• Advise business leaders on legal risks and mitigation strategies

• Represent the organisation before relevant regulatory authorities where required

• Promote best practices and support implementation of policies and procedures

Your profile:

• Qualified lawyer (Juris Doctor or equivalent) with an active licence to practise

• 10+ years’ experience with strong expertise in M&A, gained in-house and/or in a major law firm

• Proven experience leading complex transactions and working across geographies

• Strong drafting, negotiation and stakeholder management skills

• Ability to operate effectively in cross-functional, international environments
