Our client in the manufacturing sector is currently seeking a Senior Corporate Counsel (Temporary) to join their team. Your Responsibilities: * Advise senior management on corporate governance, board matters, and multi-jurisdictional compliance * Draft, review, and maintain corporate policies, charters, and governance documents aligned with best practices * Manage entity formation, maintenance, and global corporate structure to ensure efficiency and compliance * Negotiate a broad range of commercial agreements, including NDAs, vendor, service, and partnership contracts * Support M&A and joint ventures through due diligence and post-closing integration * Partner with business, finance, and operations teams to structure commercially sound, compliant deals * Oversee compliance with corporate, data protection, employment, and competition laws * Manage regulatory filings, reporting, and risk processes to protect organisational interests * Direct pre-litigation strategies, manage external counsel, and mitigate risks proactively. * Mentor junior legal staff and enhance legal operations and processes * Foster strong relationships with business leaders and external advisors to support strategic objectives

A global company in the energy sector is looking for a Paralegal to join its team in Zug. You will work closely with professionals in Finance, Tax, and Legal on complex corporate matters within a collaborative and supportive environment. Your responsibilities: * Provide governance and compliance support for Swiss subsidiaries of a leading global energy company. Ensure adherence to corporate and regulatory requirements, maintain statutory records, and manage compliance calendars * Assist with corporate transactions such as incorporations, capital changes, mergers, dissolutions, and changes to directors or officers. Coordinate board and AGM logistics, liaise with external advisors and authorities, and support Finance and Tax teams on subsidiary matters * Conduct governance-related research, contribute to intercompany projects, and monitor legal developments to advise on implications for subsidiary management * Maintain up-to-date corporate documentation and organisational charts to ensure smooth and compliant operations.
