Your Responsibilities: * Advise senior management on corporate governance, board matters, and multi-jurisdictional compliance * Draft, review, and maintain corporate policies, charters, and governance documents aligned with best practices * Manage entity formation, maintenance, and global corporate structure to ensure efficiency and compliance * Negotiate a broad range of commercial agreements, including NDAs, vendor, service, and partnership contracts * Support M&A and joint ventures through due diligence and post-closing integration * Partner with business, finance, and operations teams to structure commercially sound, compliant deals * Oversee compliance with corporate, data protection, employment, and competition laws * Manage regulatory filings, reporting, and risk processes to protect organisational interests * Direct pre-litigation strategies, manage external counsel, and mitigate risks proactively. * Mentor junior legal staff and enhance legal operations and processes * Foster strong relationships with business leaders and external advisors to support strategic objectives

Your responsibilities: * Provide governance and compliance support for Swiss subsidiaries of a leading global energy company. Ensure adherence to corporate and regulatory requirements, maintain statutory records, and manage compliance calendars * Assist with corporate transactions such as incorporations, capital changes, mergers, dissolutions, and changes to directors or officers.
